  • place responsibility for Customer Data, backups and lawful processing of personal information on the Customer.

By accepting these Terms, the person accepting them confirms that they have read and understood the nature and effect of these provisions and have had an adequate opportunity to consider them.

Nothing in these Terms excludes or limits any right or liability that cannot lawfully be excluded or limited.

4. ACCOUNTS AND ACCESS

4.1 Accurate information

The Customer must provide complete, current and accurate registration, billing, identity and contact information.

4.2 Account security

The Customer is responsible for:

  • keeping usernames, passwords, one-time passwords and access credentials secure;
  • restricting access to authorised persons;
  • removing access when an Authorised User leaves or changes role;
  • securing devices used to access the Platform;
  • reviewing Account activity;
  • using suitable password and authentication practices; and
  • notifying PrimePlaces promptly of suspected unauthorised access.

4.3 Actions through the Account

To the maximum extent permitted by law, instructions and actions performed through an Account are treated as authorised by the Customer.

PrimePlaces is not required to verify the identity, authority or internal approval of every person using valid Account credentials.

4.4 Authorised Users

The Customer is responsible for every Authorised User and for all acts and omissions performed through its Account.

5. INDEPENDENT OPERATION OF TENANT SITES

5.1 Software provider only

PrimePlaces is a software and technology provider.

Unless PrimePlaces expressly agrees otherwise in a separate written agreement, PrimePlaces is not:

  • a letting or estate agent;
  • a tour operator;
  • a travel agent;

  • a joint venturer;
  • a franchise operator; or
  • a representative of the Customer.

5.2 Each Tenant Site is independently operated

Every Tenant Site is independently owned, controlled and operated by the Customer or the identified Property Operator.

This remains the case even where the Tenant Site:

  • uses a PrimePlaces subdomain;
  • appears within a PrimePlaces domain;
  • contains a “powered by PrimePlaces” reference;
  • uses PrimePlaces templates;
  • is hosted on infrastructure selected by PrimePlaces; or
  • shares technical systems with other Tenant Sites.

The use of PrimePlaces infrastructure or a PrimePlaces address does not mean that PrimePlaces owns, operates, manages, endorses or guarantees the Tenant Site, its Properties or its services.

5.3 Customer as supplier

The Customer or relevant Property Operator is the sole supplier of accommodation and related services offered through its Tenant Site.

The Customer must identify the correct legal supplier clearly on the Tenant Site and in booking documentation, invoices, policies and Guest communications.

5.4 Booking Contracts

Every Booking Contract is concluded directly between the Guest and the Customer or relevant Property Operator.

PrimePlaces is not a party to the Booking Contract and does not assume any liability under it.

5.5 No agency

Nothing in these Terms creates an agency, partnership, joint venture, fiduciary relationship, franchise or employment relationship between PrimePlaces and the Customer.

Neither party may bind or make representations on behalf of the other.

8.1 Ownership

As between PrimePlaces and the Customer, the Customer retains ownership of its Customer Content.

8.2 Licence to PrimePlaces

8.3 Customer warranties

The Customer warrants that:

  • it owns or is authorised to use Customer Content;
  • Customer Content does not infringe third-party rights;
  • it has obtained all required consents;
  • its photographs and descriptions are accurate;
  • it is authorised to publish personal information included in Customer Content; and
  • Customer Content is not unlawful, defamatory, discriminatory, deceptive or harmful.

8.4 Content moderation

PrimePlaces may remove, restrict or disable Customer Content where PrimePlaces reasonably believes it:

  • violates these Terms;
  • infringes third-party rights;
  • creates legal, security or reputational risk;
  • is fraudulent or misleading;
  • contains malware;
  • facilitates unlawful activity; or
  • is required to be removed by law or a Third-Party Service.

8.5 No content verification

PrimePlaces is not responsible for verifying Customer Content, ownership records, Property details, licences, photographs, Guest reviews or representations made by Customers.

9. OTA AND THIRD-PARTY LISTING IMPORTS

9.1 Customer authorisation

Where the Customer instructs PrimePlaces to import information from an OTA or Third-Party Service, the Customer authorises PrimePlaces to access and process the information necessary to perform that instruction.

9.2 Customer compliance

The Customer is solely responsible for determining whether an import, synchronisation, API connection, data transfer or use of OTA information complies with:

  • the OTA’s terms;
  • intellectual property laws;
  • confidentiality obligations;
  • privacy requirements;
  • contractual restrictions; and
  • Applicable Law.

9.3 No assurance of OTA permission

The availability of an import tool does not constitute a representation that an OTA permits every type of import, copying or reuse.

9.4 Import accuracy

PrimePlaces does not guarantee that imported information will be:

  • complete;
  • accurate;
  • current;
  • correctly formatted;
  • free of duplication;
  • continuously synchronised; or
  • suitable for publication without review.

The Customer must check all imported data before relying on or publishing it.

9.5 OTA changes

An OTA may alter, restrict or discontinue access without notice. PrimePlaces is not liable for interrupted imports, broken integrations, OTA account restrictions or an OTA’s actions against the Customer.

10. BOOKINGS, AVAILABILITY AND RATES

10.1 Customer control

The Customer controls its rates, availability, minimum stays, restrictions, fees, taxes, policies and acceptance of Bookings.

10.2 Accuracy

The Customer must verify that calendars, rates and restrictions are correct before accepting a Booking.

10.3 Synchronisation delays

Calendar, rate and inventory information may be delayed or fail to synchronise because of:

  • network latency;
  • Third-Party Service failures;
  • expired credentials;
  • API limitations;
  • configuration errors;
  • manual changes;
  • time-zone differences; or
  • maintenance.

10.4 Double bookings and overbookings

PrimePlaces does not guarantee that the Platform will prevent double bookings, overbookings, incorrect availability or rate discrepancies.

The Customer is solely responsible for resolving them and for any refunds, relocation costs, compensation or Guest claims.

10.5 Booking communications

The Customer must review booking confirmations, invoices, messages and automated communications to ensure that they contain accurate information.

10.6 Guest identity

PrimePlaces does not guarantee the identity, creditworthiness, conduct, age, authority or suitability of any Guest.

The Customer must perform any identity, sanctions, risk or screening checks it considers appropriate and lawful.

11. PAYMENTS AND PAYMENT PROVIDERS

11.1 Third-party payment services

Payments may be processed through Payment Providers selected or connected by the Customer.

Payment services are subject to the Payment Provider’s own terms, onboarding, verification, pricing, risk controls and privacy practices.

A refund instruction displayed or initiated through the Platform does not guarantee that the Payment Provider will complete it.

11.6 Payment information

The Customer must not ask Guests to send full card numbers, security codes, PINs or payment credentials through ordinary email, messaging fields or other insecure channels.

11.7 No financial advice

PrimePlaces does not provide banking, payment, accounting, tax or financial advice.

12. CARD FRAUD, CHARGEBACKS AND PAYMENT RISK

12.1 Customer bears transaction risk

To the maximum extent permitted by law, the Customer bears all risks associated with Guest payments, including:

  • fraudulent Bookings;
  • falsified payment confirmations; and
  • compromised Guest or Customer accounts.

12.2 No guarantee of fraud prevention

Fraud filters, authentication tools, Payment Provider checks, address checks, security codes, 3-D Secure or other controls reduce risk but do not eliminate it.

PrimePlaces does not warrant that any transaction is genuine, authorised, recoverable or free from fraud.

12.3 Chargeback responsibility

The Customer is responsible for:

  • responding to chargeback requests;
  • retaining Booking and Guest evidence;
  • supplying documentation;
  • paying chargeback fees;
  • repaying reversed settlements; and

The Customer must follow all security requirements imposed by its Payment Provider and must not store payment-card information unlawfully.

13. FEES, SUBSCRIPTIONS AND BILLING

13.1 Subscription fees

The Customer must pay the fees applicable to its selected Subscription, together with taxes and any additional charges disclosed before purchase.

13.2 Recurring billing

Where a Subscription renews automatically, the Customer authorises PrimePlaces or its billing provider to charge the applicable payment method at the beginning of each renewal period until cancellation.

13.3 Billing date

Unless otherwise stated, monthly or annual Subscriptions renew on the anniversary of the original activation or billing date rather than on the first day of a calendar month.

If payment fails, PrimePlaces may:

  • retry the transaction;
  • request an alternative payment method;
  • restrict functionality;
  • suspend the Account;
  • disable the Tenant Site; or

13.7 No set-off

The Customer must pay fees without deduction, counterclaim or set-off except where required by law.

The Platform is supplied on an “as available” basis.

PrimePlaces does not guarantee that the Platform will be continuously available, uninterrupted, timely, secure or error-free.

14.2 Maintenance

PrimePlaces may perform scheduled or emergency maintenance and may temporarily restrict access where reasonably necessary.

14.3 Dependencies

Availability may depend on Third-Party Services, internet connectivity, data centres, domain providers, email systems, telecommunications networks and Payment Providers outside PrimePlaces’ control.

14.4 Support

Support is supplied according to the Customer’s plan and PrimePlaces’ published support practices.

Unless expressly agreed in a signed service-level agreement, support response and resolution times are targets rather than guarantees.

14.5 Errors

The Customer must report reproducible errors with sufficient information for investigation.

PrimePlaces may determine the method and timing of any correction, workaround or update.

14.6 Emergency suspension

PrimePlaces may immediately restrict access where necessary to:

  • protect security;
  • stop unlawful activity;

15.4 Backups

PrimePlaces may maintain operational backups, but backups are not a substitute for the Customer’s own records or business-continuity procedures.

Unless expressly agreed in writing, PrimePlaces does not guarantee:

  • that every item will be backed up;
  • a specific backup frequency;
  • a specific recovery point;
  • indefinite retention;
  • restoration of a particular record;
  • restoration within a particular period; or
  • that restored data will be complete or current.

15.5 Risk of data loss

The Customer acknowledges that software systems may experience data corruption, deletion, overwriting, synchronisation errors, unauthorised access, infrastructure failure or human error.

The Customer must maintain independent backups of information essential to its business.

15.6 Exclusion relating to data loss

To the maximum extent permitted by law, PrimePlaces is not liable for:

  • loss, corruption, alteration or deletion of Customer Data;
  • lost booking histories;
  • missing messages;
  • lost invoices or accounting records;
  • restoration costs;
  • recreation of data;
  • interrupted access; or
  • failure by the Customer to export or back up information.

15.7 Data export

Available export functionality may depend on the Customer’s plan and the technical nature of the data.

PrimePlaces is not required to develop a custom export or supply data in a format not ordinarily supported.

15.8 Termination and deletion

Following termination, PrimePlaces may disable access and delete Customer Data after a reasonable operational retention period, subject to:

  • Applicable Law;
  • backup cycles;
  • fraud prevention;
  • dispute preservation;
  • legitimate recordkeeping needs; and
  • any separate written agreement.

The Customer must export required data before termination.

15.9 Aggregated information

PrimePlaces may create and use aggregated or de-identified information that does not reasonably identify the Customer, a Guest or another person for analytics, security, benchmarking and service improvement.

16. PRIVACY AND PERSONAL INFORMATION

16.1 Separate roles

In relation to personal information collected by the Customer through a Tenant Site:

  • the Customer ordinarily determines why and how the information is processed;
  • the Customer ordinarily acts as the responsible party or data controller; and
  • PrimePlaces ordinarily processes the information as an operator or processor on the Customer’s instructions.

PrimePlaces may act as an independent responsible party for information processed for its own account administration, billing, fraud prevention, security, legal compliance and business operations.

16.2 Customer obligations

The Customer is responsible for:

16.4 Direct marketing

The Customer must not use the Platform to send unlawful or unsolicited marketing communications.

The Customer is responsible for obtaining valid consent, maintaining suppression records and honouring opt-out requests.

16.5 Security incidents

The Customer must notify PrimePlaces promptly of any suspected compromise involving an Account or information processed through the Platform.

Where PrimePlaces becomes aware of a security compromise affecting Customer Data, PrimePlaces will notify the Customer as required by Applicable Law and Schedule 1.

16.6 Customer instructions

PrimePlaces is not responsible for the legality of the Customer’s processing instructions.

PrimePlaces may decline or suspend an instruction that it reasonably believes is unlawful or creates material security or legal risk.

17. ARTIFICIAL-INTELLIGENCE FEATURES

17.1 AI-assisted functionality

The Platform may include features that generate, summarise, classify, translate, extract, recommend or respond using artificial-intelligence systems.

17.2 Outputs may be inaccurate

Artificial-intelligence outputs may be incomplete, inaccurate, outdated, misleading, biased or unsuitable.

The Customer must review outputs before using, publishing or relying on them.

The Customer is responsible for information uploaded to train or inform its AI assistant and must ensure that it:

  • is accurate;
  • may lawfully be uploaded;
